First steps you should do in order to register a branch office of your foreign company in Serbia is to read this text and after that to send us data needed (listed below) to prepare the documents by email info@companyregistrationserbia.com, by Skype abcluxdoo or by phone/Viber/WhatsApp +381 62 100 24 24.

1. Registration in Serbian Business Registers Agency (SBRA)
First step that need to be done is registration in Serbian Business Registers Agency.

For this step, nobody from your company needs to come to Serbia. For next steps – bank account opening, digital signature and beneficial owners registration, representative of branch office need to sign the documents, for which it is required to spend 1 day in Belgrade.

Documents and data needed
In order we to prepare the documents, you need to send us next data:

  1. data about the foreign company (name, ID number, address and who is director)
  2. address of the branch office (our virtual office – address option explained below)
  3. passport of the representative person of the branch office in Serbia (passport for foreign citizens or ID card for Serbian citizens)
  4. original or certified copy of the extract from the registry in which foreign company is registered (for some countries it need to be apostilled). It must be translated to Serbian and verified by certified court interpreter
  5. Evidence of bank accounts used for the foreign company’s business. Regarding this, it is required to deliver a copy of the Contract about opening bank account for founder company, which must be translated to Serbian and verified by certified court interpreter.

Based on above listed first 3 data you send us, we make 2 documents:
a. Decision about forming branch office. For some countries, the Decision must be notarized and Apostilled, and for some not. When you contact us, we will let you know what is the case for your country.
b. Statement of the authorized person of a foreign company in which he takes responsibility for all liabilities which originates from operation of the branch office. The statement must be certified by competent state authority, translated and certified by the certified court interpreter.

OPTIONAL:

Headquarter address – Virtual office – if you need the address for your branch office headquarter until you find the office for your branch office, or permanently, we are providing you with virtual office service – address for your branch office, receiving and forwarding mails in name of your branch office. 2. Branch office stamp
After the branch office is registered, we will provide you with a branch office stamp on the same day when the branch office is registered in Serbian Business Registers Agency.

3. Bank account opening for your branch office
We are providing you with assistance in bank account opening for branch office of your foreign company in Serbia. On website of National Bank of Serbia, you can find a list of banks which operates in Serbia. We must admit that it is not possible to open a bank account for 1 day in all banks, because some banks first need to send your data to their central and they can sign the documents with you a day after. We can help you to choose the bank which can do things in 1 day.

We must admit that the banks need 7-10 days to make your card for ebanking. There is an option to authorize us to take your ebanking card from the bank when it is made, and to send it to you by post, which requires extra costs.

When opening a bank account, for most banks it is necessary that the representative of the branch office bring the so called white card (in Serbian “beli karton”) from the accomodation in which he is staying. When you stay at accomodation, they need to give you a small confirmation on white card that you are staying at their place. Before going to the bank, please make sure you have it!

For bank account opening, we are providing service of documents preparations, but we can not guarantee bank will allow bank account opening, because the bank has the right to deny bank account opening without any explanation.
